Terms of Service – QualitySignoff™

1. Agreement to Terms

These Terms of Service ("Terms") are an agreement between you and SoliEarth Infrastructure Systems Inc. ("SoliEarth", "we", "us" or "our"), the company that provides QualitySignoff, for your use of the QualitySignoff.com website, mobile applications and related software (together, the "Platform"). By using the Platform you agree to these Terms. If your organization has a signed agreement with us, that agreement governs where it differs from these Terms.

2. What the Platform Is

The Platform is software for building inspection forms, recording field observations with photos, video and location, reviewing and signing records, and keeping a register of deficiencies and documents. It organizes and records information that your people enter. It does not perform inspections or tests, and it does not certify, seal or guarantee that any work meets a contract, code or standard.

3. Who Is Responsible for What

QualitySignoff does not perform engineering, inspection, testing or quality consulting services. Your organization agrees to the following split of responsibility:

Choosing and adapting forms for the work is the responsibility of your organization's designated, qualified lead.
Recording what was inspected and observed is the responsibility of the person who records it.
Engineering and acceptance decisions are the responsibility of the authorized professional for that work.
Releasing a hold point is the responsibility of the person authorized to release it.
Keeping records whole and showing their status accurately is the responsibility of QualitySignoff, as the software provider.

Approvals, reviews and sign-offs made through the Platform are made by the person who makes them, under their own professional responsibility.

4. Forms You Adopt

Form templates, examples and drafts provided through the Platform are starting points. When your organization approves a form for use, it adopts that form as its own and is responsible for whether it suits the work, the contract and any applicable requirements. The Platform does not check that your forms cover your contract or that your records are complete.

5. AI Features

Some features use artificial intelligence (AI) to draft forms or suggest items for review. AI output is a proposal only. It may be wrong or incomplete, and it is never an engineering or acceptance decision. A person must accept, edit or reject it before it is used. Which AI features are available to your organization is set by the tier in your agreement. Reports produced with the help of AI say so.

6. Accounts and Sign-Offs

Keep your sign-in details private. Records, reviews and sign-offs made under your account are treated as made by you. Tell us promptly if you believe someone else has used your account.

7. Your Content

Content you or your organization upload or record, such as documents, photos, videos and inspection records, remains yours or your organization's. You give us permission to store and process it only to provide the Platform to you.

8. Intellectual Property

QualitySignoff™, its logos and the Platform software are the property of SoliEarth Infrastructure Systems Inc.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SoliEarth Infrastructure Systems Inc. is not liable for any indirect, consequential, punitive or incidental damages, including damages arising from project delays, construction defects, structural failures or disputes arising from project execution.

10. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law principles.
